1. Acceptance of terms
By creating an account, accessing or using BrandZilla (the "Service"), you agree to be bound by these Terms of Service, our Privacy Policy, Cookie Policy and Refund Policy. If you do not agree, you must not use the Service.
"BrandZilla", "we", "us" and "our" refer to the operators of brandzilla.ai. "You" refers to the individual or entity using the Service.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering binding contracts. By using the Service on behalf of an organisation, you warrant that you have authority to bind that organisation to these Terms.
3. User accounts
- You must provide accurate, current and complete information when creating your account.
- You are responsible for keeping your account information up to date.
- One account per individual or business entity unless otherwise agreed.
- We may refuse, suspend or terminate accounts at our discretion in accordance with these Terms.
4. Account security
You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@brandzilla.ai if you suspect any unauthorised access. We are not liable for any loss arising from unauthorised use you fail to promptly report.
5. Subscription plans
BrandZilla is offered on tiered monthly subscription plans (currently Starter, Pro and Agency). Each plan defines the number of active businesses you can manage, the monthly credit allowance and the content plan lengths available.
Plan features and prices may change. Material changes affecting your active subscription will be communicated by email or in-app notice before they take effect.
6. Credit system
Most generation actions consume credits. Your monthly plan includes a fixed credit allowance that resets at the start of each billing cycle. You may also purchase top-up credits which are consumed after your monthly allowance is exhausted.
- Multi-day content plans and multi-platform generation consume more credits than single posts.
- Monthly credits do not roll over and expire at the end of each billing cycle.
- Top-up credits do not expire while your account remains active.
- Credits have no cash value and cannot be exchanged, transferred or sold.
7. Billing and payments
Subscriptions are billed in advance on a recurring monthly basis using the payment method on file. You authorise us (and our payment processor) to charge the applicable fees, including any taxes, until you cancel.
Payments are processed securely by Stripe. We do not store your full card details on our servers. Your use of Stripe is also subject to Stripe's terms and privacy policy.
8. Plan upgrades, downgrades and top-ups
- Upgrading your plan takes effect immediately, resets your billing period and grants the new plan's full credit allowance.
- Downgrading retains your existing data; only the oldest active businesses (up to the new plan limit) remain active. Other businesses are locked but remain visible and read-only.
- Credit top-ups are added to your wallet immediately and are non-refundable once consumed.
9. Cancellation
You may cancel your subscription at any time from your billing settings. Cancellation stops future renewals; your access remains active until the end of the current paid billing period. No partial refunds are issued for the remainder of the period (see Refund Policy).
10. User-generated content
You retain ownership of the business information, brand assets and prompts you submit ("Inputs"). You grant BrandZilla a worldwide, non-exclusive, royalty-free licence to host, process and use Inputs solely to provide and improve the Service.
You are responsible for ensuring you have the right to submit your Inputs and that they do not infringe any third-party rights or applicable laws.
11. AI-generated content disclaimer
BrandZilla uses third-party AI models to generate captions, images and content suggestions ("Output"). Output is generated probabilistically and may contain inaccuracies, outdated information, or unintended similarities to existing material.
- You are solely responsible for reviewing, editing and approving Output before publishing it.
- We do not warrant that Output is unique, accurate, fit for any specific purpose, or compliant with platform-specific advertising or disclosure rules.
- You must not present Output as professional advice (legal, medical, financial, regulatory, etc.) without independent verification.
12. Intellectual property
The Service, including all software, design, branding, templates and documentation, is owned by BrandZilla or its licensors and protected by intellectual property laws. Subject to your compliance with these Terms, you receive a limited, revocable, non-exclusive licence to use the Service for your business purposes.
Subject to applicable law and any third-party model terms, you may use the Output generated under your account commercially for your own business or your clients.
13. Acceptable use
You agree not to use the Service to:
- Generate or distribute unlawful, defamatory, harassing, hateful, obscene or violent content.
- Impersonate any person or entity, or misrepresent your affiliation with one.
- Generate spam, deceptive marketing, malware, phishing material or content intended to manipulate elections.
- Reverse-engineer, scrape, or attempt to bypass rate limits, credit limits or security controls.
- Resell, sublicense or white-label the Service without our written consent.
- Train competing AI models on Output or Inputs obtained from the Service.
14. Abuse prevention
We use automated and manual systems to detect abuse, fraud, and credit-system manipulation. We may rate-limit, throttle, suspend or terminate accounts engaged in such activity without prior notice.
15. Service availability
We aim to keep the Service available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or reasons outside our reasonable control (including third-party AI provider outages).
16. Limitation of liability
To the maximum extent permitted by law, BrandZilla and its directors, employees and suppliers shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claim arising from these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) £100.
Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for death or personal injury caused by negligence, or fraud).
17. Indemnification
You agree to indemnify and hold BrandZilla harmless from any claim, loss, liability or expense (including reasonable legal fees) arising out of your Inputs, your use of Output, your breach of these Terms, or your violation of any law or third-party right.
18. Suspension and termination
We may suspend or terminate your account if you breach these Terms, fail to pay applicable fees, or use the Service in a way that creates legal, security or operational risk. Upon termination, your right to access the Service ends immediately; we may retain or delete your data in accordance with our Privacy Policy.
19. Changes to these terms
We may update these Terms from time to time. Material changes will be notified by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
20. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of these Terms, except where applicable consumer protection law grants you a non-waivable right to bring proceedings in your local courts.
